1. Acceptance of Terms

By accessing or using the KAL Digital website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not access or use our website or services.

2. Services

KAL Digital provides digital marketing services including, but not limited to:

• Search Engine Optimization (SEO)
• Web Design and Development
• Google Ads Management
• CRM Solutions and Automation
• Google Business Profile Optimization
• AI Receptionist and AI Platform Services
• Content Marketing and Blog Writing

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your business, including access to relevant accounts and platforms.
• Respond to our requests for information, approvals, and feedback in a timely manner to avoid project delays.
• Maintain the confidentiality of any login credentials or access information shared between parties.
• Ensure that all content, images, and materials you provide to us do not infringe on the rights of any third party.
• Pay all invoices and fees according to the agreed-upon payment schedule.

4. Payment Terms

All fees for services are as described in your service agreement or proposal. Monthly retainers are billed in advance and are due on the date specified in your invoice. One-time project fees are due according to the milestone schedule outlined in your proposal. Payments are processed securely through Stripe. Late payments may result in a suspension of services until the outstanding balance is resolved.

5. Refund Policy

Monthly retainer fees are non-refundable once the billing cycle has begun. One-time project fees may be eligible for a partial refund if the project has not yet commenced, at our sole discretion. If you wish to cancel your monthly subscription, you must provide written notice at least 14 days before your next billing date to avoid being charged for the upcoming cycle.

6. Intellectual Property

Upon full payment of all fees owed, all deliverables created specifically for your project (such as website designs, written content, and graphics) will be transferred to you. However, the following remain the property of KAL Digital:

• Proprietary methodologies, frameworks, templates, and tools used in delivering our services.
• Pre-existing intellectual property that was created prior to or independently of your project.
• The right to use your project as part of our portfolio and marketing materials, unless otherwise agreed in writing.

7. No Guarantee of Results

While we use industry best practices and proven strategies to improve your online presence, digital marketing results are influenced by many factors outside of our control, including search engine algorithms, market competition, and changes in consumer behavior. We do not guarantee specific rankings, traffic levels, leads, or revenue. Our goal is to provide high-quality service and measurable improvements over time.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our business relationship. This includes business strategies, financial information, customer data, and technical information. This obligation survives the termination of any service agreement.

9. Limitation of Liability

To the fullest extent permitted by law, KAL Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from or related to your use of our services. Our total liability for any claim arising from our services shall not exceed the amount you have paid us in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless KAL Digital and its affiliates from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

Either party may terminate the service agreement with written notice as specified in your individual contract. Upon termination, you are responsible for all fees incurred up to the date of termination. We may terminate or suspend access to our services immediately, without prior notice, for any violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.

13. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Any changes will be posted on this page with an updated revision date. Your continued use of our website or services after any changes constitutes acceptance of the revised Terms.
